Terms of Service
These Terms of Service ("Terms") are an agreement between you and Telivia LLC, a Florida limited liability company, Lakewood Ranch, Florida ("we", "us", "our"), which operates KUMIO. They apply to the KUMIO apps for iPhone and Android, kumioapp.com and related services (together, the "Service").
By creating an account or using KUMIO, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use KUMIO.

1. What KUMIO is
KUMIO is a personal memory app that uses artificial intelligence (AI). You can save text, voice notes and photos as "memories", forward emails to your KUMIO inbox, import content, and later find them by asking questions in your own words (Ask). KUMIO also offers Chat (text conversations with the AI), Talk (voice conversations with the AI), reminders and birthdays, Moments (memories brought back to you), and share cards.
We may add, change or remove features over time. If we remove a major paid feature, we will give reasonable notice.
2. Eligibility and your account
KUMIO is not for anyone under 18. You must be at least 18 years old to create an account or use KUMIO, wherever you live. By using KUMIO, you confirm that you are 18 or older. If we learn that a user is under 18, we will close the account and delete its data.
You can sign in with Apple, Google, or a one-time code sent to your email. KUMIO accounts are personal: one person per account. Do not share your account. You are responsible for keeping access to your Apple, Google or email account secure, and for activity in your KUMIO account. Tell us right away at support@kumioapp.com if you think someone else has accessed it.
3. Your content
You own your content. "Your Content" means everything you put into KUMIO: memories, photos, voice notes and transcripts, forwarded emails, imports, questions, Chat and Talk messages, reminders and birthdays.
The license you give us is limited. You give Telivia LLC a non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit and display Your Content only to operate and provide KUMIO to you — including sending it to our service providers (such as our AI providers) as described in the Privacy Policy — and to comply with the law. We do not use Your Content for advertising, we do not sell it, and we do not allow our AI providers to train their models on it. This license ends when you delete Your Content or your account, except for copies that remain for a short time in backups or that the law requires us to keep.
Your responsibilities. You are responsible for Your Content. Only save content you have the right to save. If you save information or photos of other people, or forward emails written by others, you are responsible for having the right to do so and for respecting their privacy.
Keep your own copies. KUMIO is not a backup service. Keep copies of anything important.
Removal. We may remove or block content, or limit features, if we reasonably believe the content breaks these Terms or the law, or puts someone at risk. We do not routinely review your memories.
Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.
4. Acceptable use
You agree not to:
- Use KUMIO for anything illegal, or to store content that is illegal (including any content that sexually exploits children).
- Harass, threaten, stalk or harm anyone, or store other people's private information to do so.
- Try to access another person's account or data, or test, probe or bypass our security.
- Copy, reverse-engineer, decompile or interfere with the app or our servers, except where the law allows it.
- Use bots, scrapers or automated tools to access the Service, or overload it.
- Try to get around usage limits (such as the free-memory limit or Talk minutes), subscriptions or payments.
- Use KUMIO to build a competing product or to extract the AI's underlying models or prompts.
- Use KUMIO's AI to create harmful content, such as malware, spam, or content that breaks the usage policies of our AI providers.
- Resell or commercially exploit the Service without our written permission.
We may suspend or end access for anyone who breaks these rules (Section 13).
5. AI features
You are talking to an AI. Ask, Chat and Talk answers, Moments and other suggestions are generated by AI, not by a person. KUMIO will say it is an AI if you ask.
AI can be wrong. AI answers may be inaccurate, incomplete or out of date, even when based on your own memories, and KUMIO may fail to find a memory. Check anything important (such as dates, amounts, medicines or deadlines) yourself. Do not rely on KUMIO as your only reminder for anything critical.
Not professional advice. AI answers are not medical, mental-health, legal, financial or other professional advice.
Consent. AI features require your consent to AI processing (Privacy Policy §5). If you withdraw it in Settings, AI features stop working. Withdrawing consent does not cancel your subscription and does not give you a refund; cancel through Apple or Google if you no longer want to pay.
Your use of outputs. You may use AI answers for your own personal purposes. We do not guarantee that outputs are unique or free from third-party rights.
6. Voice and Talk
Voice is tap-to-talk: KUMIO only listens after you tap. When you save a voice note, KUMIO keeps the original recording and a text transcript so you can play it back later; it is deleted when you delete that memory or your account. On some Android devices, a copy of the voice-note audio is sent to OpenAI only to create the transcript (Privacy Policy §3). Talk conversations are not recorded: only the text transcript is kept in your chat history, and replies use your phone's system voice. KUMIO does not create voiceprints. Talk minutes are counted on our servers, and our count is the one that applies to your allowance.
7. Free use, subscriptions and the free trial
Free use. You can save up to 3 memories for free, and free users get 10 Talk minutes per month. After the 3 free memories, you need a subscription to continue saving; you can still view and delete your existing memories. We may change the free limits; this will not affect a subscription you have already paid for.
Plans. KUMIO offers four auto-renewing subscriptions: Solo, Trio, Prime and Apex, each available monthly or annually.
| Plan | Talk minutes per month |
|---|---|
| Solo | 20 |
| Trio | 100 |
| Prime | 200 |
| Apex | 300 |
Chat is unlimited on all plans, subject to fair use and Section 4. Prices are shown in the App Store or Google Play before you buy, in your country and currency, and may include taxes. If a price shown anywhere else differs from the store price, the price shown by the store applies.
Talk minutes. Each plan includes a monthly Talk allowance. Plan minutes reset every billing month on your subscription's anniversary day (for example, if you subscribed on the 10th, they reset on the 10th of each month, including on annual plans). Unused plan minutes do not roll over to the next month.
Talk minute packs. You can buy optional one-time packs of 50, 100 or 150 extra Talk minutes. Pack minutes: never expire; are used only after your plan minutes for the month run out; can be used only while you have an active subscription. If your subscription ends, your pack balance is kept and can be used again when you resubscribe; are non-refundable, except where Apple, Google or the law require a refund; cannot be transferred to another account or exchanged for cash; and are lost if you delete your account.
Free trial (annual plans only). All plans — monthly and annual — include a 14-day free trial for eligible new subscribers. Eligibility is decided by Apple or Google (for example, one trial per account). Unless you cancel at least 24 hours before the trial ends, your trial automatically converts into a paid subscription at the price shown at purchase. We will try to remind you around day 12 of the trial, but you are responsible for cancelling on time even if you do not receive the reminder. If you buy a subscription during a trial, any unused part of the trial ends.
Automatic renewal. Payment is charged to your Apple ID or Google Play account when you confirm the purchase (or when the free trial ends). Subscriptions renew automatically for the same length and price, unless you turn off auto-renew at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the end of the current period. You can manage or cancel your subscription in your Apple ID settings (iPhone: Settings › your name › Subscriptions) or the Google Play app (Profile › Payments & subscriptions › Subscriptions). Deleting the app or your KUMIO account does not cancel your subscription. If you cancel, you keep access until the end of the period you already paid for.
Price changes. We may change subscription prices. Apple or Google will notify you in advance as their rules require and, where required, ask for your consent. If you do not agree, you can cancel before the new price applies.
Refunds. All payments are processed by Apple or Google, under their terms. We cannot issue refunds directly. Refund requests must be made to Apple (reportaproblem.apple.com) or Google (through Google Play), under their refund policies. Nothing in these Terms limits refund rights you have under the law.
Offers. We may sometimes show special offers, such as a discounted price when you close the subscription screen. Offers are shown at our discretion, may be shown only once, are limited to eligible users, cannot be transferred, and follow the terms shown with the offer and by the store.
8. App store terms
If you downloaded KUMIO from the Apple App Store or Google Play:
These Terms are between you and Telivia LLC only, not Apple or Google. We, not Apple or Google, are responsible for KUMIO and its content. Apple and Google have no obligation to provide maintenance or support for KUMIO. If KUMIO fails to meet any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) for the app; to the maximum extent allowed by law, Apple has no other warranty obligation for KUMIO. Apple and Google are not responsible for any claims relating to KUMIO (including product liability, legal or regulatory compliance, consumer protection, or intellectual property claims). We are responsible for those claims, as described in these Terms. You confirm that you are not located in a country subject to a US government embargo and are not on any US government list of prohibited or restricted parties. You must also follow the store's terms of use (for Apple, the Usage Rules in the App Store Terms of Service). Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
9. Not therapy, not a medical service, not an emergency service
KUMIO is not therapy, counseling, or a medical or mental-health service, and it is not an emergency service. It does not diagnose, treat or prevent any condition, and it cannot call for help for you.
If something you share suggests you may be at risk, KUMIO may show help resources — such as 988 (Suicide & Crisis Lifeline, US) and 911 — and offer you a way to contact a trusted person you chose. These tools are offered to help, but they may not always detect a crisis, and they do not replace professional care.
10. Reminders and notifications
Reminders, birthday alerts and trial reminders depend on your phone, its settings, push providers and network connections. They may be late or not arrive. Do not rely on KUMIO alone for anything where a missed reminder could cause harm, such as taking medicine or legal deadlines.
11. Our app and intellectual property
KUMIO, its software, design, logos and the name "KUMIO" belong to Telivia LLC or its licensors. We give you a personal, non-exclusive, non-transferable, revocable license to use the app on devices you own or control, according to these Terms and the app store rules. You may not use our name or logos without permission.
12. Third-party services
KUMIO relies on third-party services (such as Apple, Google, OpenAI, Anthropic, Supabase, RevenueCat, OneSignal, Sentry, Postmark, PostHog and Customer.io) as described in the Privacy Policy. We are not responsible for services we do not control, but we choose them carefully and they are bound by contracts to protect your data.
13. Suspension and termination
By you. You can stop using KUMIO and delete your account at any time in the app (Settings › Account › Delete account). Your account is disabled immediately and your data is deleted as described in the Privacy Policy. Remember to cancel your subscription separately with Apple or Google.
By us. We may suspend or close your account, with notice where reasonable, if you seriously or repeatedly break these Terms, if needed to protect other users, KUMIO or others, or if required by law. If we close your account without cause, we will try to give you advance notice and time to download your content. If we stop offering KUMIO altogether, we will give at least 30 days' notice.
Sections that by their nature should continue (such as 3 "Feedback", 5, 9, 14–19) continue after termination.
14. Disclaimers
To the maximum extent permitted by law, KUMIO is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that KUMIO will be uninterrupted, error-free or secure, that AI outputs will be accurate, that reminders will always be delivered, or that content will never be lost.
Some places do not allow these exclusions, so some may not apply to you. Nothing in these Terms limits rights you have as a consumer that cannot be limited by contract.
15. Limitation of liability
To the maximum extent permitted by law:
Telivia LLC and its owners, employees and providers will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of data, profits or goodwill, arising from or related to KUMIO. Our total liability for all claims related to KUMIO is limited to the greater of (a) the amount you paid for KUMIO in the 12 months before the event giving rise to the claim, or (b) US $50.
These limits do not apply to liability that cannot be limited by law, such as for death or personal injury caused by our negligence, fraud, or gross negligence or willful misconduct where those limits are not allowed.
16. Disputes, arbitration and governing law
a. Informal resolution first. Before starting arbitration or a court case, you and we agree to try to resolve any dispute informally. The party with the complaint must send a written notice (to support@kumioapp.com, or to the email on your account if we send it) with their name, account email, a description of the dispute and the relief requested. Both of us will try in good faith to resolve it for 60 days after the notice is received. Time limits for bringing a claim are paused during this period. Neither of us may start arbitration until the 60 days have passed.
b. Governing law. These Terms and any dispute are governed by the laws of the State of Florida and applicable US federal law, without regard to conflict-of-law rules. This arbitration agreement is governed by the Federal Arbitration Act (FAA).
c. Agreement to arbitrate. Except as stated in (d), any dispute, claim or controversy between you and Telivia LLC arising out of or relating to KUMIO or these Terms (including whether this section applies or is enforceable) will be resolved by binding individual arbitration, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect (available at adr.org). One arbitrator will decide the dispute. Fees are paid as set by the AAA Consumer Arbitration Rules. The hearing may be held by video or phone, or in person in the county where you live or in Manatee County, Florida, as you choose. The arbitrator may award the same individual relief a court could, but only to you individually.
d. Exceptions. Either of us may (1) bring an individual claim in small-claims court if it qualifies and stays there, and (2) ask a court to stop the infringement or misuse of intellectual property.
e. Class-action and jury-trial waiver. You and we may bring claims only individually, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not combine more than one person's claims. You and we waive any right to a jury trial. If this class-action waiver is found unenforceable for a particular claim, that claim must be decided in court (under (h)), not in arbitration.
f. Mass arbitration. If 25 or more similar arbitration demands are filed against us (or by us) by or with the help of the same or coordinated lawyers or organizations, the demands will be handled in batches of up to 100, with one batch going forward at a time and the others paused (including any fees, which will be due only when a batch goes forward). The first batch will be chosen by the parties' lawyers together, and the arbitrators' decisions in earlier batches may be used to try to resolve the rest. Time limits are paused while a demand waits. If a court decides this paragraph cannot be enforced for some demands, those demands will go to court under (h).
g. 30-day opt-out. You can opt out of this arbitration agreement by emailing support@kumioapp.com within 30 days after you first accept these Terms, with your name, the email on your KUMIO account and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
h. Courts. Any dispute that is not subject to arbitration (because of (d), an opt-out under (g), or a decision that this section does not apply) will be decided only in the state or federal courts located in Manatee County, Florida, and you and we agree to their jurisdiction.
i. Your local consumer rights. If you live in the Dominican Republic, the EEA, the UK or any other place where mandatory consumer law gives you the right to bring claims in the courts where you live, or to rely on your local consumer protections, nothing in these Terms takes away that right.
j. Changes to this section. If we change this section, the change will not apply to disputes that you or we had already notified before the change. You may reject a material change to this section by emailing support@kumioapp.com within 30 days of the change.
17. Indemnity
To the extent allowed by law, you agree to cover Telivia LLC's reasonable losses and costs (including reasonable legal fees) from third-party claims caused by Your Content or by your breach of these Terms or the law. This section does not apply to consumers in places where such clauses are not allowed.
18. Changes to these Terms
We may update these Terms. We will post the new version with a new "Last updated" date. For material changes, we will notify you in the app or by email at least 14 days before they take effect. If you keep using KUMIO after that, the new Terms apply. If you do not agree, stop using KUMIO, cancel your subscription and delete your account. Changes do not apply to disputes that arose before the change.
19. General
These Terms and the Privacy Policy are the whole agreement between you and us about KUMIO. If any part is found unenforceable, the rest stays in effect. If we do not enforce a right, we have not given it up. You may not transfer your rights under these Terms. We may transfer ours in a merger, acquisition or sale of assets, with notice to you. We are not responsible for delays caused by events outside our reasonable control.
